    Cases on acquisition processes

    In the automotive and industrial goods sectors, experience ranges from vehicles and components, to cables, building materials, white goods, mechanics and metallurgy, and a broad range of smaller by-sectors, such as lighting, packaging and vending machines. Some examples of engagements are:

    • • Forging industry (components for construction and drilling equipments): business due diligence of a target company. In this case, the key activities were: mapping of the European forging industry; evaluation of the target company’s end-markets (i.e. automotive; construction equipment and drilling industries); detailed understanding of the target company’s footprint (one plant in Italy and one in Poland); assessment of the target company’s performance; overview of current product/customer portfolio and of its possible evolution; definition of a three-year business plan, highlighting possible risks and opportunities

      • In the consumer products and luxury goods sectors, experience ranges from fast moving goods (diversified food manufacturers, frozen food, dairy products, specialties and soft drinks.. ) to apparel and luxury items. For example:
        • • A Leading world player in coffee: evaluation of the acquisition of a coffee shop chain in India
        • • A European high quality brand specialized in jeans but with a broader product range offer: due diligence (market overview, brand positioning evaluation, assessment of company’s results) and business plan
        • • A top luxury formal men’s apparel manufacturer: market analysis, evaluation of company position, plan revision


        In the telecommunications and media sectors, engagements cover most subsectors, such as fixed, mobile and technology providers; publishing, tv, sport and entertainment players .Some examples can be:
        • • A commercial due diligence of one of the UK's six Mux (DTT) operators: evaluating technological advances in videostreaming and strategic rationale for supply side alterations; forecasting future demand for videostreams; regulatory review
        • • A commercial due diligence for an investment in a Spanish independent production company: assessment of the market , from industry interviews as well as desk research; probing and challenging management forecasts; providing an opinion on an achievable ‘base case’ revenue forecast, identifying potential upsides and risks; evaluating potential exit options

    Some examples of engagements performed for PEH on their participated companies:

      • Preparation of the strategic plan for a pumps manufacturer (centrifugal vacuum, hose): evaluation of market and segments; review of growth strategy; definition of business plan
    • • Preparation of the 100-days plan after the acquisition for a leading betting and gaming player: creation of working groups, definition of priorities, evaluation of targets of improvement, action plan for each working group and reporting schemes…
    • • For a broadband cable operator: long-term pricing strategy in Germany for digital, interactive broadband cable services on the basis of reviews of European pricing practices
    • • Worldwide developments of Mobile TV. The specific markets investigated were: Australia, China, France, Germany, India and the UK. In each market, progress of trials, regulatory situation, value chain dynamics and key players were assessed.



    Cases on Exit Strategy

    • • Due diligence of a cable network in Taiwan. The PE was considering the sale of a cable network acquired two years before and hired us to update the previous report.
    • • The main objectives of the first phase of the project were providing an overview of the major markets in which the network operates, an updated assessment of the operational performance of the network, providing key inputs and assumptions for a 5 year revenue and cost forecasts, and identifying strategic growth initiatives. This project was followed by a due diligence on the company in the Taiwan market
    • • Commercial and strategic review of a major worldwide motorsport business.
    • • The study evaluated all major revenue streams including media, circuit and commercial revenues, as well as considering the future of the sport and the relationships between the major stakeholders.
